Terms of Use for 8V User Copy Trading Service

Dear users:When you directly or indirectly participate in the trading service launched by the platform, you are deemed to agree to and abide by the terms of this service agreement, including any modifications made to this agreement by this website at any time. Therefore, please read the following trading service terms and rules carefully.

1. Overview

• 1.1: 8V Exchange (hereinafter referred to as “8V,” “8VEX,” “Platform,” “Website,” “we,” or “our”) provides a Copy Trading Service that allows users (hereinafter referred to as “Users” or “you”) to follow trades (hereinafter referred to as “Followers”) or to lead trades (hereinafter referred to as “Traders”) (hereinafter referred to as “Copy Trading Service”). If you follow one or more Lead Traders, or if you lead one or more Followers simultaneously, you may establish a portfolio (hereinafter referred to as a “Copy Trading Portfolio”). You may not be both a Follower and a Lead Trader at the same time.
• 1.2: The provisions of this “8V User Copy Trading Service Terms of Use” (hereinafter referred to as “this Agreement” or “these Terms of Use”) apply to your use of the copy trading services provided by this platform. Before entering into any copy trading or leading trades, you must declare that you have carefully read, fully understood and fully agreed to all the terms of this Agreement. Your use of the copy trading services provided by this platform shall be deemed that you have carefully read, fully understood and fully agreed to all the terms of this Agreement and other terms or agreements published on this platform at any time, including but not limited to the “User Agreement” and “Privacy Terms” (“User Terms”). If you disagree with any provision of the User Terms, or refuse 8V’s right to unilaterally modify the User Terms at any time, then you have no right to use the copy trading services provided by this platform, and you should immediately stop using and accessing the copy trading services and 8V platform we provide.
• 1.3: If there is any conflict between this Agreement and other user terms, the terms of this Agreement shall prevail. Unless otherwise agreed in this Agreement, the terms used in this Agreement shall have the meanings specified in the terms of the User Agreement;
• 1.4: By using the 8V Trading Service, you agree that we or our trading agents may charge you the corresponding service fees and that you are solely responsible for all risks and losses arising therefrom. If you do not accept the foregoing provisions, you are not authorized to use the Trading Service provided by this platform and must immediately cease using and accessing the Trading Service and the 8V Platform.

2. Eligibility for the Copy Trading Service

• 2.1: You meet all the eligibility requirements stipulated in our User Agreement;
• 2.2: You agree to and abide by all provisions of the User Terms (including this Agreement).
• 2.3: As a merchandiser or trader in our platform’s merchandising service, you possess the corresponding risk identification and risk tolerance required to use this merchandising service, as well as the necessary experience and relevant knowledge required for such services;
• 2.4: Your use of this documentary service will not violate or cause us to violate the applicable laws of your country or region;
• 2.5: You will not use any services provided by this platform, including this documentary service, to engage in any illegal activities, or engage in any activities for illegal purposes, including but not limited to money laundering, terrorism, extortion, fraud, etc.; and
• 2.6: The funds and/or digital assets you use for our platform and this Copy Trading Service are from legal sources and you are the legal owner.

3. Rights and obligations of merchandisers

• 3.1 : Subject to the User Terms, Followers have the right to choose to follow trades on 8V with their own accounts and/or strategies;
• 3.2 : On this Platform, Followers can use relevant information and related features provided by the Platform to interact with Leads and follow other Leads, investment strategies, and/or portfolios. This includes accessing detailed account information, transaction history, risk profiles, and other information related to Leads’ strategies and/or portfolios, which may assist Followers in deciding whether to follow a Lead, strategy, and/or portfolio.
• 3.3 : Copy Trading is a feature that allows Followers to follow the trading accounts of other Followers. Followers can follow a specific Follower or a portfolio of Followers. By placing Copy Trading instructions on the Platform, Followers authorize and instruct us to execute trades for their account, automatically mirroring their account configuration to the maximum extent permitted by the Service or Copy Trading feature. For specific limits, please refer to the Platform’s disclosures from time to time. No prior consultation or consent is required. Copy Trading will be executed on a pro-rata basis, based on the same product and the same trading instructions. Therefore, we are authorized to open and close positions, set limits, and perform all other operations necessary to provide the Copy Trading service.
• 3.4 : By placing a Copy Trade Order, you authorize 8V to automatically recreate the selected account for you in your 8V account without your prior consent, permission, or approval, or prior consultation with you;
• 3.5 : Followers should actively monitor the trading activities of their followers and effectively manage trading risks according to their trading strategies;
• 3.6 : You acknowledge and agree that when you use 8V’s copy trading service to trade, 8V will charge you a certain service fee. You hereby agree and authorize 8V to deduct the corresponding service fee from the funds and/or digital assets in your 8V account; 8V reserves the right not to provide you with copy trading services in accordance with the provisions of this clause.
• 3.7 The Follower acknowledges and agrees that we may not be able to execute the Copy Trades exactly as per the Follower or Copy Trader Portfolio for the following reasons :
  • a) The Follower or Follower’s Account is unable to conduct the Transaction due to applicable law or other reasons.
  • b) If the weak trading amount is lower than the lower limit, we will not open a position.

4. Rights and obligations of order takers

• 4.1: Any 8V user who is familiar with trading has the right to apply to become a leader in the 8V copy trading service, allowing other 8V users to copy or follow their orders or transactions and obtain profit sharing from them;
• 4.2: The order taker is aware of and agrees that 8V has the absolute discretion to decide:
  • a) Whether to accept or reject you as a lead in the 8V Copy Trading Service, or decide to suspend or terminate your eligibility as a lead in the 8V Copy Trading Service, or decide to suspend or terminate the provision of all or part of the 8V Copy Trading Service to you;
  • b) Limit your leverage, the number of followers, the total amount of followers’ follower trades, the currencies you follow, and other follower trading activities; and
  • c) Add, change, modify or revoke any requirements related to Lead Brokers or led transactions at any time, including the trading information disclosed by Lead Brokers, the commission ratio for leading or recommending leads, the settlement period for commission, ranking rules, and transaction fees.
• 4.3: The order taker agrees and promises:
  • a) Leads shall not publish or post any false or misleading information that defames or damages 8V’s reputation, goodwill, safety, or services.
  • b) The Lead is responsible for managing the risk of their Followers’ positions. This is because if the Lead’s open positions are liquidated, the corresponding positions of their Followers will also be liquidated.
  • c) During the application review period, the copy trader should refrain from copy trading or transferring any assets to the copy trader account.
  • d) Comply with the following rules:
    • It is not allowed to create multiple 8V accounts to place two-way position orders.
    • Do not plagiarize or copy the strategies of other leaders.
    • It is not allowed to promise profits to merchandisers in order to increase exposure or attract merchandisers to follow orders.
    • You may not engage in fraudulent or malicious activities to increase the number of followers or the volume of copied trades.
    • It is not allowed to maliciously hold positions solely for the purpose of manipulating winning rate performance.
    • Social media links may not be included in a facilitator’s profile. Any links detected will be replaced with asterisks.
  • e) If a Lead Seller fails to comply with 8V’s User Terms and/or any of the Platform’s Trading Rules, 8V reserves the right to take any one or more of the following punitive measures against the Lead Seller, depending on the severity of the violation:
    • A warning prompt may be issued;
    • The lead trader’s rank may be adversely affected; if a lead trader is demoted, they may be subject to trading restrictions such as the maximum number of copy traders.
    • The order taker may be banned and disqualified from taking orders;
    • The lead may have his/her commissions cancelled or confiscated;
    • Other measures permitted by law.
  • f) Becoming a Lead Carrier is a personal choice and does not constitute a contractual relationship between you and any employee, partner, intermediary, or contractor associated with the 8V Platform. Lead Carriers understand and confirm that they are acting in good faith and assume all legal responsibilities and risks associated with becoming a Lead Carrier. The Platform assumes no compensation or liability for any actions taken by Lead Carriers.
  • g) The Broker agrees to comply with all applicable laws and regulations of all applicable jurisdictions. The Broker shall be solely responsible for its actions as a Broker.
  • h) Lead Instructors shall not infringe upon the legal rights and interests of any 8V user or other third party. If 8V, its users, brokers, partners, etc. suffer any losses due to any actions of Lead Instructors, 8V reserves the right to seek compensation from the Lead Instructors through legal or other means.
• 4.4: Lead traders need to keep their trading status updated and accurate at all times so that their followers can be aware of the latest trading activities and strategies.
• 4.5: Leads must accurately describe their trading strategies on the Platform so that Followers can make investment decisions based on their descriptions. Leads must ensure that their actual trading activities are consistent with their described strategies. If losses result from Leads’ trading activities, the Platform will take any measures it deems reasonable, such as suspending the Lead’s account or terminating trading relationships with Followers.
• 4.6: The Lead Trader is responsible for managing the risk of his or her Followers’ positions.

5. Risk Disclosure

• Please note that this risk disclosure supplements the risk disclosures associated with any products traded on this platform. Before deciding to follow a particular Lead or set of Leads, investment strategies, and/or portfolios, Followers should consider their own financial circumstances, including their own financial commitments. Followers should understand that copy trading is highly speculative and may result in significant losses that exceed the Follower’s invested capital. Followers should be particularly aware of the following risks associated with copy trading:
  • a) Copy trading involves automated execution of trades, meaning that trades in the Follower’s account are automatically opened and closed without the need for manual intervention or further instructions from the Follower;
  • b) If a merchandiser manually modifies or closes an order placed with the merchandiser function, the results obtained may differ significantly from those obtained by the merchandiser being followed;
  • c) If the copy trading amount is lower than the minimum trading requirement (according to the platform regulations), the position cannot be opened.
  • d) If a Follower selects a Lead and follows all of their unsettled trades, we will open a position for the Follower at the best price available at the time of copying the trade, rather than the original opening price of the trade;
  • e) If a Follower liquidates or withdraws funds from a Follower’s trading partners, strategies, and/or portfolios, this will affect the Follower’s starting balance, trading ratio differences, minimum trading size limits, the Follower’s account settings, and differences in the Follower’s investment spreads, interest rates, and investment prices, including any fees that may be incurred.
  • f) Following the trading decisions of inexperienced and/or non-professional investors carries risks. We make no representations, warranties or guarantees regarding the professionalism, skills or prudence of the individuals who are followed by the Followers. 
  • g) The ultimate goal or intention or financial status of the lead that the Merchandiser follows may differ from that of the Merchandiser;
  • h) The Follower or Portfolio may trade or contain products that are not available to the Follower (due to applicable laws, etc.), and if an equivalent alternative transaction cannot be executed, the returns, portfolio composition, risk level and other factors related to the Follower’s Portfolio may differ from those of the Followed Investor or Portfolio.

6. Limitation of Liability

• 6.1: We provide services such as copy trading on an “as is” basis. To the maximum extent permitted by applicable law, we make no warranties or representations regarding the quality of the Platform and the services provided under this Agreement. You use our services at your own risk. If the foregoing disclaimers and liability exemptions are deemed invalid or void, then under no circumstances and under all legal theories (tort, contract, strict liability, or otherwise) will we or any of the Indemnified Parties be liable to you or any other person for any damages arising from the use of the Platform, Website, Third-Party Content, or any Account, whether direct, indirect, special, incidental, or consequential damages of any nature, including trading losses, loss of information, business interruption, lost profits, lost savings, lost data, or damages arising from or related to the Website, Platform, Third-Party Content, or Accounts, or damages based on any contract, negligence, strict liability, or other theory, or based on any claim or demand by any third party, even if we are aware of or have reason to be aware of such damages, claim, or demand.
• 6.2: In addition, to the maximum extent permitted by applicable law, we will not be responsible for (i) any actions taken to execute your copy-related instructions or (ii) any decisions made or actions taken by the Lead Advisor or strategy you choose to follow.
• 6.3: We reserve the right to assess whether Copy Trading is suitable for you and under what conditions (hereinafter referred to as the “Suitability Assessment”). If we conduct a Suitability Assessment, the assessment will be based on the information and documents you provide us upon request (which you may update at any time). We may create an investment profile based on your Suitability Assessment, and your Copy Trading will be subject to the Suitability Assessment. If we determine that Copy Trading is not a suitable investment instrument for you, you will not be permitted to use the Copy Trading feature of the Platform. We are not responsible for any losses you incur if you provide false or misleading information for the Suitability Assessment, resulting in an inaccurate investment profile created by us.
• 6.4: Notwithstanding the foregoing provisions, which will be implemented to the maximum extent permitted by applicable law, Copy Trading shall not constitute any form of investment, portfolio or asset management.
• 6.5: To the maximum extent permitted by applicable law, our copy trading services or features do not constitute any personal investment recommendations, investment advice, tax-related advice or any other form of financial advice.
• 6.6: Any explanations or information we provide to you as part of the Services, or regarding the performance of copied traders, are not intended to be and should not be considered as any form of investment advice. Any information we provide through the Platform is for informational purposes only.
• 6.7: You may use the information gathered from the official website or social trading features as a starting point for your independent research and investment decisions. However, you should not make investment decisions based on the information provided by the platform or community.
• 6.8: We will take reasonable steps to monitor the performance of any Follower or Follower Service and the performance of the Follower Service. We reserve the right to suspend, stop, or block: (a) any Follower or Follower Service; and (b) any Portfolio or Strategy followed under the Follower Service. In such event, any open trades resulting from the Follower or Follower Portfolio feature will be closed.
• 6.9: We reserve the right to terminate the Follower or Copy Portfolio functionality at our sole discretion, including if you no longer meet the criteria for accessing the service or if the provision of our services is not feasible under any applicable rules or regulations, and will notify you in writing.
• 6.10: We may also terminate the Follower or Copy Portfolio Services if we suspect or have reason to believe (i) prohibited trading activities, including manipulative or abusive trading practices; (ii) suspected fraudulent provision of false information during the account opening process; or (iii) other malicious behavior on your part.
• 6.11: Upon termination of the Follower or Copy Portfolio services, any open trades made under such features will be closed.
• 6.12: We reserve the right to amend the Follower or Copy Portfolio Terms of Service without prior notice.

7. Transaction Disclaimer

• 7.1: We make no representations or warranties regarding the performance of any investor, investment activity, account, portfolio, or strategy. We do not guarantee that the past returns of the advisor or portfolio you choose to follow will be reproducible, nor do we guarantee that the gains (or losses) you will earn (or incur) will be identical to those of the advisor or portfolio you follow.
• 7.2: Past performance, risk scores, statistics and any other information regarding the Platform’s followers and/or traders under the Copy Portfolio feature, or information about different portfolios and trading strategies under the Copy Portfolio feature, should not be considered a reliable indicator of future performance.
• 7.3: We make no representations or warranties as to your ability to achieve gains or losses similar to those shown by the person or portfolio you follow.
• 7.4: The prices of traded assets may fluctuate. The value of your copied investment may fall or rise, and you may not recover your investment. You are solely responsible for your investment decisions, and 8V is not responsible for any losses you may incur. In particular, futures trading of cryptocurrency contracts and derivatives is subject to high market risk and price volatility. If prices move unfavorably, your entire margin balance may be liquidated. Past performance is not a reliable predictor of future performance. Before trading, you should independently assess the appropriateness of the transaction based on your objectives and circumstances, including risks and potential returns. If appropriate, please consult your own advisors. This information should not be construed as financial or investment advice.

8. Technical Disclaimer

• 8.1: The 8V Team may suspend access to the Copy Trading Service or Platform from time to time for scheduled and emergency maintenance. The 8V Team will make reasonable efforts to ensure that transactions on the Platform are processed promptly, but the 8V Team makes no representations or warranties about the time required to complete processing, which depends on many factors beyond our control.
• 8.2: Although the 8V Team makes reasonable efforts to update information related to the Copy Trading Service, we make no representations, warranties or guarantees, whether express or implied, that the content on the Platform (including information related to the 8V Service) is accurate, complete or up-to-date.
• 8.3: You are responsible for obtaining the data network access required to use the 8V Services. You are responsible for obtaining and updating the compatible hardware or devices required to access and use the 8V Services, Platform and any updates thereto. The 8V Team does not guarantee that the 8V Services or any part thereof will run on any specific hardware or device. The 8V Services may be affected by the failures and delays inherent in the use of the Internet and electronic communications.

9. Definitions

• “Applicable Law” means all relevant or applicable statutes, laws (including common law rules), equitable principles, rules, regulations, regulatory principles and requirements, notices, orders, writs, injunctions, judgments, by-laws, awards, directives, proclamations, circulars, mandatory codes of conduct, guidelines, practice notes and interpretations (whether of a governmental body, regulator or other body, or a self-regulatory body to which 8V is a party) that apply to the provision, receipt or use of the 8V Services, or any other products or deliverables provided, used or received in connection with these Terms.
